Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you (“you” or “Customer”) and Codeally d.o.o., a company registered in Croatia with its registered office at Mokrička ulica 74, 10290 Zaprešić (“FixFirstly”, “we” or “us”). By creating an account or using the service you agree to these Terms. If you use the service on behalf of a company, you confirm you have authority to bind it. The service is intended for business and professional use and is not directed at consumers.
1. The platform
FixFirstly is a software-as-a-service platform for software teams. It ingests and analyzes user feedback, bug reports, and feature requests (classification, semantic clustering, and priority scoring), and provides an AI QA agent (the “Agent”) that, when you direct it to, signs into a software application you connect (a “Test Target”), attempts to reproduce a reported bug, and files a verified issue to a source-code repository you connect. Feedback ingestion is unlimited on all plans; investigations (agent runs) are the metered unit, allocated per billing period by plan. We may add, change, or discontinue features, and will not materially reduce a paid plan's core functionality without reasonable notice.
2. Your account
You must provide accurate information when creating your account and keep it up to date. You are responsible for safeguarding your credentials and for all activity under your account, and must notify us promptly of any unauthorized use.
3. Your content and data
You retain ownership of the feedback, messages, and other data you submit (“Customer Content”). You grant us a worldwide, non-exclusive license to host, process, and display Customer Content solely to provide and improve the service. Output produced by the service — including analyses, clusters, priority scores, reproduction findings, and drafted issues — may be inaccurate or incomplete, and you are responsible for reviewing it before acting on it. You represent that you have the rights to submit Customer Content and that it does not infringe third-party rights or violate any law.
4. The AI QA agent and connected services
When you connect a Test Target or repository and start an investigation, you authorize the Agent to access and interact with those systems on your behalf, using the credentials and scopes you provide, in order to reproduce bugs and file issues. You represent and warrant that you own, or have all necessary rights and authority to grant access to, every system, account, credential, and repository you connect, and that doing so does not breach any third party's terms, contract, or law. You are solely responsible for the credentials you provide and for scoping their permissions; we recommend least-privilege, test-only accounts.
The Agent performs automated actions such as sign-in, navigation, form submission, and issue creation within your connected environments, and you are responsible for their effects there. We do not guarantee that the Agent will reproduce any given bug, that a filed issue is accurate, or that the Agent will not trigger side effects in your connected systems. Connected services (for example, GitHub, your hosting provider, or Google) are governed by their own terms, and your use of them through FixFirstly must comply with those terms. We encrypt connection credentials and scrub them from agent context where feasible; you remain responsible for revoking access you no longer want.
5. Pricing and payment
Paid plans are billed in advance through our merchant of record, Lemon Squeezy, which handles payment processing and applicable taxes. Charges are based on your plan's investigation allowance, and unused investigations do not roll over. Prices exclude taxes unless stated, and the merchant of record collects VAT or sales tax where required. We may change prices on reasonable notice, with changes applying at your next renewal.
6. Refunds
Except where required by law, all fees are non-refundable, including for partial billing periods and unused investigations. You may cancel at any time; your plan remains active until the end of the current billing period and does not renew thereafter. Unused investigations expire at the end of each billing period.
7. Intellectual property
We own the service, software, integrations, branding, and all related intellectual property. These Terms grant you a limited, non-exclusive, non-transferable right to use the service during your subscription. You may not copy, modify, reverse-engineer, resell, or create derivative works of the service, or use it to build a competing product. If you send us suggestions about the service, we may use them without restriction or obligation.
8. Acceptable use
You may not use the service unlawfully or to infringe others' rights; connect systems you are not authorized to access; attempt to breach security or access other tenants' data; overload or interfere with the service; use the Agent to attack, scrape, or harm third parties; or submit malware or illegal content. We may suspend accounts that violate this section.
9. Termination
You may cancel at any time. We may suspend or terminate your access for material breach (including breaches of the agent, acceptable use, or payment terms), with notice where practicable, or immediately for serious breach or legal risk. On termination, your right to use the service ends and we may delete Customer Content after a reasonable period, so export your data before cancelling. Provisions that by their nature survive — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — continue after termination.
10. Disclaimers
The service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service or the Agent will be uninterrupted, error-free, or secure, or that the Agent or its AI output — including bug reproductions and filed issues — will be accurate, complete, or reliable. You are responsible for reviewing AI output before acting on it.
11. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill; we are not liable for damage to, or actions taken within, your connected systems by the Agent acting under your authorization; and our total aggregate liability will not exceed the amounts you paid us in the 12 months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.
12. Indemnification
You will defend and indemnify us against third-party claims arising from your Customer Content, your use of the service in breach of these Terms, or your connection of (or the Agent's authorized access to) systems you did not have the right to connect.
13. Data protection
Where we process personal data within Customer Content on your behalf, we act as processor and you as controller, and our Data Processing Addendum applies. We process personal data in accordance with our Privacy Policy and the GDPR. A current list of sub-processors is available on request.
14. General provisions
We may update these Terms and will notify you of material changes by email; continued use after they take effect constitutes acceptance. These Terms are governed by the laws of Croatia, and the courts of Zagreb have exclusive jurisdiction, without prejudice to any mandatory consumer protections. These Terms, together with the Privacy Policy and any Data Processing Addendum, are the entire agreement and supersede prior understandings. If any provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them in a merger or sale of the business. Neither party is liable for delays caused by events beyond its reasonable control.
